Employer of Record sits in a grey area in Kenya. No law defines the EOR model, and it’s unresolved whether the licence Kenya’s National Employment Authority (NEA) requires for a private employment agency under the Labour Institutions Act applies to an EOR’s own-entity setup — none of the 20 providers compared here claims to hold one. Kenyan labour courts also apply a control-and-integration test that can make the client, not the EOR, the real employer in a dispute.
Cost has two layers. EOR fits a straightforward Kenyan hire where you need one employee of record and no local entity — including, several immigration-agency sources say, one who needs a Class D work permit. Is Employer of Record legal in Kenya?
Grey area. Kenya has no statute written for the EOR model. The Employment Act 2007 defines “employer” broadly — per secondary legal commentary, including “an employment agency” — so nothing bars a local company from being a worker’s sole contractual employer while a separate client directs the work. The open question is the Labour Institutions Act 2007’s licensing regime for private employment agencies:
The Act (Part VII, ss.55-60) and the 2016 Private Employment Agencies Regulations bar running an “employment agency,” or charging employment-procurement fees, without a licence from the National Employment Authority (NEA); unlicensed operation is an offence (nea.go.ke, checked 2026-10-01).
No NEA guidance, law-firm memo or case addresses whether an EOR’s own-entity model — distinct from a fee-charging recruitment agency — needs that licence. It’s an open gap, not a confirmed exemption, and none of the 20 providers here claims to hold one.
The Employment and Labour Relations Court separately applies a common-law test — control, integration, economic reality, mutuality of obligation — that looks past contract labels to find the true employer (oraro.co.ke, checked 2026-10-01).
Client risks: if a tribunal finds the client, not the EOR, is the real employer under that test, the client can face direct exposure to notice, redundancy and unfair-dismissal claims it thought it had outsourced. If an EOR’s model is later ruled an unlicensed “employment agency,” that’s an offence for the EOR; any knock-on exposure for the client is unresolved (nea.go.ke, checked 2026-10-01). NSSF, SHIF, Housing Levy and NITA remittance are statutory employer duties enforced against the registered employer first, but a client ruled the “real” employer could inherit that liability too (kra.go.ke, checked 2026-10-01).
Who actually employs your hire in Kenya
Vendors describe their entity model globally far more often than they confirm it for Kenya specifically. Here’s what each vendor’s own Kenya-facing page actually says (all checked 2026-10-01):

Fourteen of these 20 don’t say whether Kenya is served by their own entity or a partner’s — including Deel, Oyster and Rippling, three of the more prominent names in the category. That matters here specifically because none of the 20 claims an NEA private-employment-agency licence either, so the entity statement is the only evidence a client gets. Before signing, ask directly: “Is the entity that will employ my hire in Kenya wholly owned by you, and can you name it?”
