Singapore draws a clear line between a contract of service (an employee) and a contract for services (a self-employed contractor), and that line is drawn on substance, not on what the contract calls itself. A genuine contractor runs their own business, is usually a self-employed person or an ACRA-registered sole proprietor, and files their own tax return. There are no foreign exchange controls to work around.
Employee or contractor
The Employment Act protects employees under a contract of service, not those under a contract for services. Who controls how, when and where the work is done, who supplies the tools, and whose business the person really runs decide which side an engagement falls on (MOM, checked 2026-09-30). A single-client, open-ended monthly retainer with fixed hours and your tools looks like employment; project-scoped work for several clients does not.
If the role is a job, hire the person: a Singapore entity of your own, or an Employer of Record. MOM has said a worker employed by an EOR is a genuine employee (MOM, 2023-11-07, checked 2026-09-30), but also that an EOR may not apply for a work pass for a foreigner based in Singapore working for an overseas company without a local presence (MOM FAQ, checked 2026-10-07).
Who the contractor is
Sole proprietorships are registered with ACRA. Singapore citizens, PRs and eligible FIN holders aged 18 or over can register one; a foreigner living overseas must use a corporate service provider and appoint a locally resident authorised representative, and foreigners moving to Singapore to run the business need MOM approval (ACRA, checked 2026-10-07).
What to put in the contract
- A written services agreement, scoped to deliverables, rate and currency. The voluntary Tripartite Standard on Contracting with Self-Employed Persons has adopting businesses set agreed terms out in writing before purchasing services (TAFEP, checked 2026-10-07).
- IP assignment in writing. Under the Copyright Act 2021 the author is the first owner of an authorial work, and the default can be changed by contract; assign explicitly rather than rely on the engagement being treated as employment (Copyright Act 2021 s.133, checked 2026-10-07; page not machine-readable, wording taken from a statute reproduction).
- Independence markers: contractor’s own tools, own schedule, right to serve other clients.
Taxes and paperwork
The contractor’s side. Report net trade income on Form B by 18 April and keep business records for at least five years (IRAS, checked 2026-10-07). MediSave applies only to citizens and PRs with net trade income above SGD 6,000 (IRAS, checked 2026-10-07).
The client’s side. US payers collect a W-8BEN and file no 1099. Keep contract and invoices. If you pay through a Singapore entity, ask a Singapore adviser about your own obligations.
